Dailycastnews WordPress Plugin - Proprietary License Agreement

This Proprietary License Agreement ("Agreement") is a legal agreement between you ("Licensee") and Dailycast News / ProDJs, LLC ("Licensor") for the use of the Dailycastnews WordPress plugin ("Plugin").

1. Grant of License:

   Licensor grants Licensee a non-exclusive, non-transferable, and revocable license to use the Plugin in accordance with the accompanying 'Terms and Conditions' document of this Agreement.  This license includes a unique URL audio stream for tracking.  Unauthorized streaming from other sources like other websites, apps or devices is considered unauthorized use and could be subject to copyright infringement.


2. Permitted Use:

   Licensee may install and use one Plugin on a single WordPress website/domain owned or controlled by Licensee. Licensee may not sublicense, distribute, or sell the Plugin in any form to any third party.  This includes distribution within the same company.


3. Restrictions:

   Licensee may not:

   a. Modify, adapt, translate, reverse engineer, decompile, or disassemble the Plugin.
   b. Remove or alter any copyright, trademark, or proprietary notice from the Plugin.
   c. Use the Plugin in any manner that violates applicable laws or regulations.


4. Support and Updates:

   The Licensor may provide support and updates for the Plugin at its discretion. Such support and updates may require an additional fee.


5. Ownership:

   The Plugin and all intellectual property rights associated with it remain the exclusive property of the Licensor.


6. Termination:

   This Agreement is effective until terminated. The Licensor may terminate this Agreement if Licensee fails to comply with any term or condition stated herein. Upon termination, Licensee must cease all use of the Plugin and destroy any copies in their possession.


7. Disclaimer of Warranty:

   THE PLUGIN IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.


8. Limitation of Liability:

   TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE PLUGIN, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.


9. Governing Law:

   This Agreement shall be governed by and construed in accordance with the laws of Riverside County, CA, without regard to its conflicts of laws principles.


10. Entire Agreement:

   This Agreement constitutes the entire agreement between Licensee and Licensor concerning the Plugin and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.


By installing and using the Dailycastnews WordPress Plugin, Licensee acknowledges that they have read, understood, and agreed to be bound by the terms and conditions of this Agreement and the accompanying 'Terms and Conditions' document.
